Question: What are the tax consequences of incorporating out of state?

I am starting an internet based travel agency and I work out of home so I don’t have a physical office location. I currently live in New York and state income tax level is quite high in New York. Would it be advisable to incorporate in a tax free state such as Wyoming, Nevada, Washington etc . . ? Would I have any state level tax liability to New York given this scenario? I just want to make sure that I wouldn’t have to register my out of state corp as a foreign entity with New York.
I was told that as long as I didn’t have a physical office location that I commute to, I’m not selling a physical product, and since I don’t own any real property through the company that I might not have to pay taxes to New York state. Any truth to this? It’s online travel agency so all of the business transactions take place through the internet and no physical product exchanges hands.

Answer: What type of business would it be? No matter what though, if the business is based in NY you would still have to pay NY taxes, and if you incorporate in another state you would also have to file in that other state as well. I’m a CPA in Vermont (certified in MA) and can give you more advice if you would like.

Answer: If you are filing a return and will be owing money back to the government, then the filing deadline for your tax return is midnight on April 30th. If you are receiving money back, then file when you want. If you file late, it will just take longer to get your refund back.
When you say online tax report, are you meaning a site that you can do your taxes on? If so, then I would try ufile.ca. Great site, easy to use and understand and if you make under a certain amount of money, filing is free.
