Question: Resignation of Board of Directors members?
Three of us formed a nonprofit corporation, and I am the president of the Board. The other two board members resigned one week after they signed the Articles Of Incorporation and the Bylaws. The state has already issued me a Certificate Of Incorporation, and all tax IDs and bank accounts have already been established. Do I have the right to continue building the organization myself without filling the vacant posts, or am I basically at a standstill until I find replacement board members?
Answer: I would find replacements before continuing. Incorporation’s are tricky…but one thing I do know is no one person can incorporate alone…so you definitely need to find the replacements quick. Any decisions made on your behalf (solely) during this transition should be notarized by a second party (i.e. attorney or certified notary) anything and everything should be on paper or else it never happened. Keep everything up to date and legalized so that when those vacant chairs are filled, the new comers can’t say you added things on a whim. You have to protect your own assets too. Check with your attorney and see what to do at this point. He/she may suggest an alternative for the interim.
